Governing jurisdiction: Wyoming, USA
1) Parties, purpose, and private nature
This Private Membership Association Membership Agreement (the “Agreement”) is entered into by and between 38Matches (the “Association”) and the undersigned applicant (the “Member”).
Purpose. The Association exists to provide a private, members-only environment for:
- private intelligence and member-to-member information sharing;
- a private matching forum connecting members who need services with vetted members who provide services (“Service Providers”);
- a member Reference Library (where “Pathway” documents and Service Provider information lives);
- included platform features described in Section 10 (Matchstick Trading System, Daily Broadcasts, Local Meetups).
Private contract. The Member understands and agrees:
- the Association is private;
- access is by invitation/application and acceptance;
- all participation is governed by private agreement; and
- Association communications, engagements, content, and services are for members only.
2) Eligibility and acceptance
Age requirement. Membership is limited to individuals 18 years of age or older.
No geographic restrictions. The Association does not impose geographic eligibility restrictions, but the Association may decline or terminate membership at its sole discretion to protect the Association, its Members, and its mission.
Acceptance required. Membership is not effective until the Association accepts the Member’s application.
3) Membership tiers (Tier 1, Tier 2, Tier 3)
The Association offers tiered membership. Tier benefits are provided as a private membership benefit and may be updated from time to time to improve operations, safety, and member experience.
Tier 1: Membership
Includes access to the private platform, member forums, Reference Library, Service Provider discovery pathways, Daily Broadcasts, and Local Meetups (member-organized), and access to the Matchstick Trading System.
Tier 2: Curated Problem Solving
Includes all Tier 1 benefits plus priority, guided resolution: the Association reviews the Member’s needs, identifies the required Service Providers, and facilitates priority introductions/engagement so the Member is not left guessing, waiting, or self-navigating.
Tier 3: Service Provider
Includes all Tier 1 and Tier 2 benefits plus preferred visibility and direct access to vetted consumer-members: a Service Provider listing, priority placement in discovery pathways/directory (as applicable), and the ability to publish promotional posts to reach Members within Association rules.
4) Suggested annual membership donations; not subject to return or reversal
Suggested annual donations. Suggested annual membership donations are:
- Tier 1: $275/year
- Tier 2: $299/year
- Tier 3: $499/year
Donation nature; not subject to return or reversal. Membership donations are voluntary contributions to support the Association’s private operations and mission. Once accepted by the Association, membership donations are final and are not subject to return, reversal, chargeback, setoff, or other reimbursement.
5) Upgrades, tier changes, and proration
Upgrades. Members may upgrade tiers at any time. Upgrades are effective immediately upon acceptance by the Association. Any additional donation due will be prorated based on the remaining term.
Tier changes to a lower tier. Members may elect to move to a lower tier at the next renewal date. Tier changes to a lower tier do not take effect mid-term.
6) No advice; no guarantees; member due diligence
No advice. The Association itself does not provide legal, tax, financial, investment, medical, or other professional advice. Instead, the Association vets Tier 3 Service Providers and maintains a secure, members-only platform to facilitate private member-to-member interactions.
No guarantees. While the Association applies rigorous admission standards and ongoing review to ensure only high-quality Service Providers are accepted into Tier 3, the Association does not and cannot guarantee outcomes, timelines, pricing, or results from any information or services shared between members.
Member responsibility. The Member is solely responsible for:
- verifying information;
- selecting and contracting with any Service Provider;
- conducting their own due diligence; and
- complying with all applicable laws.
7) Tier 3 Service Providers and member-to-member services
Independent parties. Service Providers are independent Members. The Association is not a broker, agent, partner, employer, or intermediary for any member-to-member services.
No commissions; member-favorable pricing. The Association does not collect commissions, referral fees, or success fees on member-to-member services. As a condition of Tier 3 participation, Service Providers are asked to price services so that any amount that would otherwise be paid as a commission or referral fee is instead retained by the contracting Member (i.e., passed through as Member savings), subject to the Service Provider’s own policies and any applicable law.
Service Provider promotions. Tier 3 Members may publish promotional posts in the form of original content on the forum. Promotions must comply with Association rules and must not:
- be misleading;
- imply the Association’s preferential endorsement over other service providers;
- claim guaranteed outcomes; or
- violate natural law.
8) Platform principles and member conduct
The Association maintains a high-trust, privacy-first platform experience. As a condition of membership, the Member agrees:
Core platform principles
- No paid advertisements.
- No algorithmic manipulation.
- No metadata harvesting for advertising.
- No celebrity worship / public influencer politicking.
Conduct rules (high level)
- No harassment, threats, doxxing, or stalking.
- No illegal activity coordination.
- No lewd or sexually explicit content
- No redistribution of private Association content outside the membership.
- The Association may moderate or remove content, or suspend/terminate membership, in the interest of member safety, privacy, and cultural protection, and to preserve a high-trust, high-signal environment (for example, to address harassment, doxxing, spam, or bad-faith disruption).
9) Privacy and data handling (no selling/sharing)
No sale or sharing of member data. The Association will not sell or share Member data to third parties for advertising, marketing or any other reason.
Minimum operational data (privacy-first). The Member understands the Association may store only the minimum operational records needed to run a private platform safely and prevent abuse, such as:
- account identifiers and membership tier;
- access and security logs (for example sign-in timestamps or abuse-prevention signals);
- member-submitted content and messages within the platform;
- moderation and safety reports.
Explicit exclusions. The Association does not deploy third-party advertising trackers, does not use Member data for paid advertising, and does not sell, rent, or share Member data for marketing or other purposes.
10) Programs (add-on features) within the Agreement
These included platform features are membership benefits that operate inside the platform. Member use must remain consistent with the PMA purpose and the “no paid advertisements” principle.
10.1 Matchstick Trading System
Purpose. A non-financial reward and engagement system.
No financial value. Matchsticks have no financial value, are non-redeemable, and do not represent money, equity, or investment.
Burns and reach. Tier 3 promotional reach may be improved by burning matchsticks, subject to Association rules and anti-abuse limits.
Earning and burning. All tiers may earn and burn matchsticks for original content contributions, unlocking platform features, participating in games/challenges, and accessing member utilities, subject to Association rules.
10.2 Daily Broadcasts
High-quality, members-only broadcasts delivered inside the platform to help Members stay current on fast-changing conditions. Broadcasts are informational and may include opinion; they are not professional advice. Broadcast content is confidential to the membership and may not be shared outside the platform.
10.3 Local Meetups
Meetups are members-only, member-led gatherings designed to strengthen local community and build real-world trust. The Association provides a secure in-platform forum for Members to connect, organize and coordinate meetups, but does not host, supervise, or control any meetup.
Assumption of risk. The Member assumes all risks of attending any meetup, including personal safety, travel, venue risks, and interactions with other Members.
11) Term, renewal, and termination
Term. Membership term is one year from the date of acceptance unless otherwise specified.
Termination. The Association may suspend or terminate membership at its sole discretion to protect the Association and its Members.
12) Internal resolution then arbitration
Internal resolution first. The Member agrees to attempt good-faith internal resolution by written notice to the Association before escalating any dispute.
Arbitration. If unresolved, disputes will be resolved by binding arbitration in the State of Wyoming, USA under procedures specified by the Association, except where prohibited by law.
13) Limitation of liability; indemnification
To the fullest extent permitted by law, the Member agrees the Association is not liable for indirect, incidental, consequential, special, or punitive damages.
The Member agrees to indemnify and hold harmless the Association from claims arising out of the Member’s actions, content, or interactions with other Members/Service Providers.
14) Miscellaneous
Updates. The Association may update operational rules, tier benefits, and program rules to protect the Association and improve member experience. Material changes will be communicated within the platform.
Entire agreement. This Agreement constitutes the entire agreement between the parties regarding membership.
Severability. If any provision is made invalid, the remainder remains effective.
